Foreign-Owned SMLLCs: All IRS Compliance Deadlines

For a foreign owner of a U.S. Single-Member LLC (SMLLC), “disregarded” does not mean “invisible. “The IRS has ramped up its automated enforcement for international information returns. Under the One Big Beautiful Bill Act (OBBBA), the penalties for missing these filings are no longer just a slap on the wrist, they are business-ending events.

Here is your critical compliance calendar for the tax year.

The Big One: Form 5472 & Pro-Forma 1120

If your SMLLC had even one “reportable transaction” (including a $100 owner contribution or a distribution) in tax year, you must file.

  • Deadline: April 15
  • Extended Deadline: October 15 (requires filing Form 7004 by April 15).
  • The Penalty: $25,000 per form. If the IRS sends a notice and you don’t respond within 90 days, the penalty increases by $25,000 every 30 days with no cap.
  • Requirement: You must file a “Pro-Forma” Form 1120. Ensure the words “Foreign-owned U.S. DE” are written clearly across the top of the 1120 as per electronic filing standards.

FBAR (FinCEN Form 114)

If your U.S. LLC (or you personally) held more than $10,000 in total in non-U.S. bank accounts at any point in Tax Year, you must file an FBAR.

  • Deadline: April 15
  • Automatic Extension: October 15 (No form required to get this extension).
  • Why it Matters: Even if your U.S. LLC is the “owner” of the foreign account, you as the individual owner likely have “signature authority,” triggering a double reporting requirement.

The “2026 BOI Exemption” (Huge Update)

In a major shift for 2026, a March 2025 FinCEN interim final rule has exempted U.S.-formed entities from the Beneficial Ownership Information (BOI) reporting requirement.

  • The Rule: If your LLC was formed in a U.S. state (e.g., Delaware, Wyoming), you are no longer required to file or update a BOI report in 2026.
  • The Exception: If your business is a Foreign Entity (formed outside the U.S.) that merely registered to do business in the U.S., you still have 30 days from registration to file.

New: OBBBA 1% Remittance Excise Tax

Effective January 1, 2026, the OBBBA imposes a new 1% tax on certain cross-border transfers.

    • What’s Taxed: Transfers sent from the U.S. to a foreign person using cash, money orders, or cashier’s checks.
    • What’s Safe: Standard electronic wire transfers from regulated banks and credit/debit card payments are currently exempt.
  • Compliance: If you use physical instruments to “send money home” from your LLC, you must file Form 720 quarterly. The first return is due April 30

Individual Tax Returns (Form 1040-NR)

If your SMLLC is “Engaged in a U.S. Trade or Business” (ETBUS), you personally must file a U.S. non-resident return.

  • Deadline: April 15 (if you received wages subject to withholding).
  • Deadline: June 15 (if you did not have a U.S. office/wages).
  • Extension: October 15 (requires filing Form 4868).
